By purchasing, downloading, or using any vocal product from this website

 you (“Licensee”) agree to the Following Terms and Conditions:

 

1. Non-Exclusive Vocals (Toplines, Limited Editions, Bundles, Vocal Hooks & Samples)

     License: You are granted a perpetual, non-exclusive, royalty-free license to use the vocals in your original musical works for commercial or non-commercial purposes.

      Restrictions - You may not:

• Resell, sublicense, distribute, or share the raw vocal files in any form.
• Include vocals in sample packs, loop kits, or similar products (free or paid).
• Vocal Consent: You are responsible for obtaining any additional performer consents or residuals required under SAG-AFTRA or AFM agreements, if applicable.
• Use the name “Mandy Barry” or any variation in public-facing materials such as credits, song titles, metadata, or marketing without expressed permission. 

     Non-Exclusivity: Vocals are non-exclusive; multiple users may license the same vocal.

2. Exclusive Toplines

     Master Rights: You are granted 100% ownership of the master recording (the final song incorporating the vocal). You may release it on any platform (e.g., Spotify, Amazon Music, Apple Music) and retain all revenue from streams, downloads, and sales pertaining to the master recording.

     Publishing Rights: Publishing rights (lyrics and melody) are split 50/50 between you and I on the publishing end, standard for any toplining and songwriting deals. You must register the track with a Performance Rights Organization (e.g., BMI, ASCAP, SESAC) to ensure proper royalty distribution, and I will do the same on my end.    One song usage: Versions and remixes are permitted as long as the vocal is not reused to create multiple unrelated songs. 

Rights Reversion Clause: 
Exclusive toplines come with a 2-year release window. Because this is an exclusive license, the vocal is removed from sale and reserved for you. This is to prevent vocals being held indefinitely without release.

If the track is commercially released within 2 years of purchase, your exclusive license remains valid permanently. Commercially released means the track is publicly available on major DSPs such as Spotify, Amazon Music, and Apple Music etc.

If the track is not released within 2 years of purchase, the exclusive license expires and the rights to the vocal revert back to Mandy Barry, meaning it may be re-licensed or resold.

If you need more time, extensions may be agreed to in writing before the 2-year deadline.

  Restrictions - You may not:

• Resell, sublicense, or share the original vocal recordings.
• Include vocals in sample packs, templates, or similar products.
• Vocal Consent (U.S.): As above, you are responsible for any U.S.-specific performer consents or residuals.
• Use the name “Mandy Barry” or any variation in credits, metadata, or marketing under any circumstance or without expressed written permission. 

3. Cover Vocals

     License: Cover vocals are licensed royalty-free for personal use, demos, or non-commercial purposes.

     Commercial Release: To release a cover song commercially, you must obtain a mechanical license for the original composition through simple and made-easy services like Easy Song or Songfile. You are solely responsible for securing this license. 

     Restrictions - You may not:

• Release a cover commercially without a mechanical license.
• Resell, share, or redistribute raw vocal files.
• Register the track with Content ID systems (e.g., YouTube, Facebook) unless all rights are cleared.
• Use “Mandy Barry” or any variation in credits, metadata, or branding. 

     Non-Exclusivity: Cover vocals are non-exclusive; multiple users may license the same vocal.

4. AI Usage (Artificial Intelligence) and Voice Replication

AI PROHIBITION: I do not consent to my vocals being uploaded to, or used by, any AI platform (e.g., Suno, Udio, Kits.ai). This includes "testing" or "private" use. Most AI platform terms grant the platform rights to train on uploaded audio; therefore, any upload is a violation of my Right of Publicity and intellectual property. My vocals are for your finished production only—not for AI training, cloning, or synthesis.

     You are strictly prohibited from using vocals to:

• Train, clone, or replicate Mandy’s voice using AI or machine learning tools. 
• Extract stems or isolate elements for voice synthesis, conversion, or revoicing.
• Create works mimicking Mandy’s voice.
• Violation may result in license termination, content takedown, and legal action. I actively monitor for AI misuse. If any vocals from this site are found to be used in AI tools or outputs, I will issue takedown notices immediately and may pursue legal action.

Please note: This includes uploading a vocal to any AI machine learning website “for fun, internal testing, personal, or experimental use”. Any unauthorized upload or use of AI constitutes a material breach of the terms and conditions.

5. AI to Human Vocals

     If purchasing a custom order for Mandy to humanize your working demo'd AI vocal, regular licensing & terms apply. 

• Performance only is a vocal fee. 
• Performance with creative input constitutes a creative contribution to the composition and publishing splits will apply. Splits will be discussed and agreed upon upfront before any payment is made or work begins.

6. General Terms

     Non-Transferable: Licenses are non-transferable and apply only to the Licensee.

     Violation: Breaching these terms may result in license termination, content removal from platforms, and/or legal action.

     Sync Rights: For use in visual media (e.g., videos, films), contact info@mandybarry.com to confirm if additional sync licenses are required.

7. Acknowledgment

     By purchasing or downloading vocals, you confirm you have read, understood, and agree to these terms.

 

 

Mandy Barry, LLC reserves the right, in its sole discretion, to modify alter, or otherwise update these Terms and Conditions at any time, and by continuing to use any product or service offered on this website after the posting of any such modification, alteration or update, you shall be deemed to have accepted such modification(s), alteration(s) or update(s).
